Stuart Brennan is a partner within the Company Commercial team at Carter Lemon Camerons dealing with businesses and other non-litigious work and specialises in commercial property, company commercial and associated employment matters.
Previously Senior Partner at Metson Cross, Stuart has extensive experience in all aspects of commercial property matters including portfolio sales and purchases, development, security work leases and other landlord and tenant matters. Stuart has significant experience in acquisitions and disposals of businesses either by the sale also purchase of shares or assets, including TUPE issues as well as dealing with company, LLP and partnership formations, shareholders agreements and company restructuring including purchasing of own shares and revisions to memorandum and articles of association Recent Work: • The disposal of a 50% stake in a printing company to an American investor involving not only the usual sale and purchase agreement but also a shareholders agreement/compromise agreements and new contracts of employment and associated property matters. • The setting up in Moscow of a representative office for a UK company setting up business in Russia; involving liaising with lawyers based in Moscow and satisfying the stringent regulatory requirements of the Russian State Authorities for the setting up of a rep office. • The preparation of an agreement between a housing association and a mortgage broker for the provision of mortgage and other financial and business services by the broker. Also the preparation of a standard form of agreement to be entered into between the housing association and its panel solicitors. • Liaising with the litigation team in advising a client on taking action against a former employee setting up a competing business utilising the clients valuable intranet based database and other know-how. • The acquisition of restaurant businesses involving issues relating to VAT, licensing, guarantees and mortgage requirements. • Advising clients investors in their acquisition at auction of an industrial estate to be held by them under a declaration of trust taking account of the varying entities under which they would hold the property (2 individuals, a limited liability partnership and SIPP trustees) together with VAT issues. Also a power of attorney enabling one of the individual owners to manage the property. • Drafting overage provisions and advising on overage for various clients on the sale or purchase of properties. • Advice to clients following insolvency of tenants. Also the acquisition of businesses as going concerns from administrators following the insolvency of the business owner. Stuart has over the years been involved in many substantial property and business acquisitions and disposals including the acquisition of 87 public houses for a regional brewer, the compulsory purchase of a property as part of a dock reconfiguration together with representations to a public enquiry. He also represented a client against the Environment Agency following alleged pollution of a waterway. Stuart was educated at Glasgow High School and Wilmslow Grammar School and Liverpool Polytechnic, trained in Manchester but has worked in London since admission as a solicitor in 1973. Outside the office Stuarts interests are golfing, skiing, watching football and rugby, music of all kinds and playing the piano (in private). Also supports a well-known northern football club. |
